1. Agreement to Terms

By accessing or using the services provided by Tech Solutions Factory LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services. These Terms apply to all visitors, users, and others who access or use our services.

2. Description of Services

Tech Solutions Factory LLC provides custom software development, AI-powered automation, workflow optimization, systems integration, and related technology consulting services. The specific scope, deliverables, and terms of any engagement will be defined in a separate statement of work or service agreement.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice, except where such changes would materially affect an active service agreement.

3. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information necessary for the performance of services
• Respond to requests for information, approvals, or feedback in a timely manner
• Ensure you have the right to provide any materials, data, or content to us
• Maintain appropriate backups of your data and systems
• Comply with all applicable laws and regulations in connection with your use of our services

4. Intellectual Property

Our Intellectual Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, and software, are the exclusive property of Tech Solutions Factory LLC and are protected by intellectual property laws.

Client Deliverables

Unless otherwise specified in a separate agreement, upon full payment, clients receive ownership of custom software and deliverables created specifically for their engagement. Pre-existing tools, frameworks, and methodologies used in the creation of deliverables remain our property.

5. Payment Terms

Payment terms, including fees, payment schedules, and methods, will be specified in individual service agreements. Unless otherwise stated:

• Invoices are due within thirty (30) days of receipt
• Late payments may be subject to interest charges as permitted by law
• We reserve the right to suspend services for accounts with outstanding balances

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of an engagement. This obligation survives the termination of any service agreement. Confidential information does not include information that becomes publicly available through no fault of the receiving party or information independently developed without use of confidential information.

7. Limitation of Liability

To the maximum extent permitted by law, Tech Solutions Factory LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to us during the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, timely, secure, or error-free.

9. Indemnification

You agree to indemnify, defend, and hold harmless Tech Solutions Factory LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your use of our services or violation of these Terms.

10. Termination

Either party may terminate an engagement as specified in the applicable service agreement. We reserve the right to terminate or suspend access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users of our services, us, or third parties, or for any other reason at our sole discretion.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Broward County, Florida.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services following the posting of revised Terms means that you accept and agree to the changes.
